Terms of Service

1. Introduction

Krystyna Starodub, an individual developer based in Ukraine, operates the messenger under the Sayli trademark. In this document “Sayli”, “we”, “us” and “our” mean Krystyna Starodub, and “you” means you, the user of the service.

By installing a Sayli app, or by using the web version, you accept these Terms of Service and our Privacy Policy. If you do not accept them, do not use the service.

Sayli is designed never to collect or store sensitive information it does not need. Calls and secret chats are protected by end-to-end encryption and cannot be read by us or by any third party.

2. Your account

To sign up you need a working mobile number. You are responsible for keeping access to that number, and we strongly recommend switching on two-step verification.

You must be at least 16 years old, or older where the law of your country requires it.

You are responsible for everything done through your account. If you lose access to your number, write to us at [email protected].

3. Community principles

By signing up to Sayli you confirm that:

  • you are 16 years old or above;
  • you accept our Privacy Policy;
  • you will not promote violence, discrimination or anything else offensive to other users;
  • you will not send spam to other users;
  • you will not perform any kind of fraud using the service;
  • you will not publish pornographic, violent or otherwise disturbing and/or illegal content;
  • you will not share the private data of other users without their consent.

Public channels and groups that break these rules may be blocked. Private and secret chats are not moderated.

4. Subscriptions and premium features

A Sayli subscription may in future give access to premium features and enhanced performance. At launch, all features of Sayli are available free of charge to all users. However, we reserve the right to introduce monetisation, including premium features, at a later stage. Users who want premium features will need to switch them on explicitly in the settings. If we decide to disable free access to premium features, we will give users at least 30 days’ notice.

4.1. Payment

You can manage your Sayli Premium subscription in the Sayli Premium area of your account settings. If your payment method is rejected, you will need to submit new payment details to avoid your Sayli Premium subscription being cancelled. If you supply new payment details and are successfully charged, your new membership period is counted from the original renewal date rather than from the date of the successful charge.

4.2. Taxes and conversion rates

Local taxes may apply to users in certain areas; those amounts are calculated and added to the final price of a purchase. For payments made in other currencies, payment providers may add their own commissions and conversion rates. Sayli has no control over this.

5. Cancellation policy

5.1. Cancelling a subscription

Sayli Premium can be cancelled at any time. Follow the instructions in the Sayli Premium section of your account settings. If you bought Sayli Premium with your Apple ID, you can cancel from the Manage Subscriptions page of the Apple App Store or from the Account Settings menu on your device. If you bought Sayli Premium through Google Play, you can cancel in the Subscriptions section of Google Play.

5.2. Refunds and effective cancellation

You will not receive a refund or a credit for the days remaining in your current payment period: your subscription stays active from the moment you cancel until the end of the current billing cycle. Once it expires, you lose access to all Sayli Premium features.

Your subscription remains active even if you delete your Sayli account or remove the Sayli app from your device.

6. Paid services obtained through third parties

If you acquire a Sayli Premium subscription through a third party, such as Google Play or the Apple App Store, your purchase may also be governed by that third party’s conditions as set out in your agreement with them. For paid services purchased through a third party, your billing relationship is with that third party.

7. Termination

7.1. Compliance with the Terms

A breach of the Sayli Terms of Service may result in a temporary or permanent ban from Sayli or from some of its services. In such a case you may lose access to the benefits of Sayli Premium, and we will not compensate you for it.

7.2. Unilateral termination

Sayli reserves the right to discontinue subscription services at any time, including in response to unforeseeable events outside our control or in order to satisfy legal requirements. In that case we will cancel your subscription and refund the prorated portion of any prepaid subscription fees corresponding to the remaining unused term.

8. Taxes, fees and refunds

All relevant taxes, data plans, internet fees and other costs related to your use of Sayli are your responsibility.

Fees associated with purchases are generally non-refundable. If you cancel a recurring membership before the end of a paid period, there is no partial refund or credit: the subscription simply stays active until the period ends.

9. Changes to pricing and terms

9.1. Pricing and terms

Although we do not plan to change the cost of Sayli Premium often, we reserve the right to alter both these terms and the prices that apply when your subscription renews, in order to account for changes to our business, new product developments or shifting economic conditions.

9.2. Advance notice

We will tell you about any substantial change by a message to your Sayli account at least 30 days beforehand, giving you the chance to cancel your membership before the new price takes effect. Messages about Premium accounts are sent from verified service accounts in the Sayli app.

Messages from Sayli about your Premium account carry relevant information about your subscription or payment status — not special offers or promotions.

10. The scope of premium services

10.1. Included services

The Premium section lists the services included in a Sayli Premium subscription (the “Premium Services”). We may add new features to the Premium Services from time to time. We may also withdraw existing Premium Services if legal or technical constraints mean we can no longer provide them. Some Premium Services may in future be made available to all Sayli users free of charge.

10.2. Availability

Although Sayli works to keep its services available to all users at all times, technical problems may occasionally prevent us from providing services, including Premium Services. If we are temporarily unable to offer any free or paid service, Sayli will not compensate you for direct or indirect losses.

Premium Services are offered by the major Sayli clients, such as the official iOS and Android apps. Some Sayli applications, whether built by us or by third parties, may not deliver all Premium Services immediately, or at all.

10.3. Software requirements

Some Premium Services may require the latest Sayli update to be installed on your device. When you use Premium Services, the people you interact with may also need the latest version of Sayli on their devices in order to see the content you share with them. For example, only users with the latest version of Sayli will be able to open documents larger than 2 GB, or the special stickers available to Sayli Premium subscribers.

The people you interact with generally do not need a Sayli Premium subscription of their own in order to see the content you share with them through Premium Services.

10.4. Chat translation and voice-to-text conversion

Premium Services let you convert any voice or video message on Sayli to text, and offer optional live translation for any chat, group or channel.

These technologies are still developing, so there is no guarantee that every message you try to translate or transcribe will be handled correctly, or at all. They rely on a third party — Google LLC, a subsidiary of Alphabet Inc. — so we cannot guarantee that they will always be accurate or available.

10.5. Increased download speed

Premium Services allow media and documents on Sayli to be downloaded faster, because all applicable speed limits on Sayli’s side are removed. Your actual download speed also depends on your hardware, your internet service provider and intermediate connectivity providers, so there is no guarantee that Premium Services will always change how quickly you download files and media from Sayli.

11. Content and intellectual property

You keep the rights to the content you send. You grant us a technical licence to store that content and to deliver it to its recipients, for as long as is needed to provide the service.

The Sayli name, the logo, the apps and the interface elements are our intellectual property. You may not use them in a way that suggests your product is made or endorsed by us.

12. Disclaimer of warranties and limitation of liability

The service is provided “as is” and “as available”. We aim for round-the-clock availability, but we do not guarantee uninterrupted or error-free operation.

To the extent permitted by law, we are not liable for indirect or consequential losses, for lost profits, or for losses caused by outages, by the acts of third parties, or by data lost because you kept no backup of your own.

Nothing in these Terms excludes any liability that cannot be excluded under the law that applies to you.

13. Governing law

These Terms are governed by the laws of Ukraine, without regard to its conflict-of-law rules. This does not deprive you of the protection of the mandatory consumer-protection rules of the country in which you live.

14. Changes to these Terms of Service

These Terms may be updated further by a unilateral decision of Krystyna Starodub.

We announce material changes in the app and on sayli.chat at least 30 days before they take effect, and we update the date at the top of this page. Continuing to use the service after a change has taken effect means that you accept the new version.
